Client Responsibilities, Liabilities and General Work Terms

The client will be solely responsible for providing site content like text and multimedia to Netleon IT Solutions. This information should be provided before the start of the work.
It is the client's responsibility to take all the backups of all the content on their site before Netleon IT Solutions take any action on the specified site. Netleon IT Solutions will not be liable for any loss or damage to existing data under any circumstances.
Netleon IT Solutions is not responsible for any data entry, web hosting, or graphics designing-related tasks until and unless it is mentioned in the contract and is paid for. Also, both parties should agree to this. If any artwork, text or images is designed or written by Netleon IT Solutions on the behalf of the client the sole property of the content would be with Netleon or its suppliers.

Netleon IT Solutions always try to deliver all the deliveries on time. But, sometimes due to unavoidable or unforeseen conditions like deployment issues, 3rd-party support, communication delay or resource unavailability Netleon IT Solutions can extend some time.
Before publishing any content on the site Netleon IT Solutions will send the site for approval to the client. Netleon IT Solutions would wait for 7 days to hear feedback from the client. If the client is unable to respond back with any feedback within those 7 days. The material will be regarded as automatically accepted and authorized by the Client.
The client grants permission to Netleon IT Solutions to publish and utilize data, visual logos and files. In case any material is taken from a third party then it is the client’s responsibility to take the rights and permission from them before giving it to Netleon IT Solutions. The Client undertakes to indemnify and keep harmless Netleon from any and all lawsuits originating from the Client's carelessness or inability to secure required copyright licenses. A contract for website design is the Client's guarantee to Netleon IT Solutions that all such permits and authorities have been received. Permissions and authority may be required as evidence by Netleon IT Solutions to review.
Netleon IT Solutions is not responsible for any alteration done by the client or a third party after the pages or website is deployed. If any issues occur like this or anything other than this, Netleon IT Solutions will require one-time web development charges before resolving such issues.

Payments

Netleon IT Solutions accepts cash, cheques and bank transfer as a form of payment method. But we also reserve the right to decline payment from any of the forms mentioned earlier without prior notice. We also hold the right to make changes in our pricing without prior notice.
If the Customer cancels the service before it is completed, a cancellation fee may be levied. The price will be equivalent to the amount of work done at the time of cancellation.
If the client does not pay the cancellation charges or the overdue amount it might lead to legal action if needed.

Support and 3rd-Party

Once the site is launched, we offer support free for one month. After that, we charge based on the price packages that are suitable for the client. If the client chooses a higher package, we might give them a discount. The support services only include bug fixing, and email issues/help. This does not include any kind of change in site architecture, add-ons or any enhancement in the sites.
If the client is taking any third-party support for its product or services then it is the client's responsibility and liability to have a proper user agreement, and license from the third party. And if clients want Netleon IT Solutions to handle this, then any extra cost would be charged.
Netleon IT Solutions will not provide any guarantee or warranty for the performance of third-party products or services.
Any upgrades to the third-party products or services utilised in the project are not covered under Netleon's scope. This will be addressed based on practicality, and Netleon may request a price and time modification for doing this if the client requires it.

Rework, Upgrades, Add-ons, and Billing

Any extra features that are not mentioned in the scope of the work would be invoiced separately. Scope Creeps after wireframe approval would be invoiced as extra, and delivery timelines and costs would be increased.
If there are small issues in the site that would already be solved by Netleon IT Solutions. But if we feel that is being misused then we have the right to ask for additional charges at a business rate of around US $ 15 to $20 per hour.
While we make every possible effort to keep modifications within the client budget, some changes are designated as system enhancements will be charged. Netleon IT Solutions will notify you before we begin work on any such things.
Any changes or re-work assigned by the client after approval and/or progressing to the next step of the project process will be viewed as add-on work and will be invoiced separately by Netleon IT Solutions.
The customer must pay Netleon's fee without any deductions, reductions, or debt settlement within the agreed-upon due dates.

Limitations of Liability

Though Netleon IT Solutions provides services with reasonable competence and care. But we don’t give any assurance or warranty for our quality, timelines, and availability.
Netleon IT Solutions hereby disclaims any liability for loss or damage caused by any inaccuracy, delay, or error in the website, whether it is the result of negligence or any unknown reason. We also are not liable for any loss or damage to clients' data, artwork, photos and content supplied for the site.
Except in the case of death or bodily injury caused due to our negligence, we will not liable for any damages that occur in the contract. In no circumstances will we be liable for any direct, or indirect, damages in the contract including loss of profit or claims brought by third parties.
Netleon IT Solutions cannot claim any guarantee on the behalf of a third-party organization and will not be held liable for any failures provided by the third-party services.

Delivery and Approvals

The project will be divided into many stages and the next stage process will only be initiated once the previous stage has been approved and the necessary funds have been made.
After the website design or development is complete or any other services. The website would first be uploaded to Netleon’s server customer area so that the client can check and approve the site. After the client's approval, the site would be deployed to the designated server. But, Netleon IT Solutions has the right to postpone website uploading until full payment is received.
The code and any other material would be given to the client after the project is completed and the payment is done. The client has full ownership of the code.
Netleon IT Solutions reserves the right to publicize the end product/website provided to the clients, as a reference to other potential clients. If such information is necessary to be suppressed, the customer must tell Netleon IT Solutions in advance and acquire prior and proper authorization.

Timescale

Netleon IT Solutions always try to complete the project within the timeline. The period of work will begin after 30-50% of the project fee is paid by the client after a mutual discussion.
Netleon IT Solutions can extend the timeline due to any unprecedented circumstances.

Jurisdiction

These provisions are subject to and construed in line with Indian law. The parties (both) voluntarily agree that any dispute arising out of, under, or in connection with these terms and conditions will be resolved solely by the courts of India. The placement of an order confirms acceptance of the terms related to the order.

Severability

If any or more than one of the terms and conditions is found invalid. Still, the rest of the section will not be affected by that. Thus, the agreement can not be cancelled based on this one factor. Any laws that you want to be changed can only be done when both parties agree with them.
